Nashīnasu Kazoku - Collector Access Terms

These Terms govern membership of Nashīnasu Kazoku 家族 (“Kazoku”), a private collector access circle operated by Nathan Downie trading as Nashīnasu ナシーナス (“Nashīnasu”, “we”, “us” or “our”).

By applying for and accepting a Kazoku membership, you agree to these Terms together with our Privacy Policy and any other policies expressly incorporated into your membership agreement.

1. About Kazoku

Kazoku is a limited annual collector relationship providing members with selected access to Nashīnasu works, artistic developments, private presentations, collector context and acquisition opportunities.

Kazoku is not:

  • an artwork subscription;
  • an investment product;
  • a promise of financial return;
  • a guarantee that any particular artwork will become available;
  • an entitlement to unrestricted contact with the artist;
  • a guarantee of livestreams, meetings, calls or physical studio access.

Artwork, editions, commissions, framing, delivery and installation are separate acquisitions unless expressly stated otherwise in writing.

2. Eligibility and membership acceptance

Age

Kazoku is available only to persons aged 18 or over.

Personal membership

Membership is personal to the accepted member. It may not be transferred, assigned, resold or shared with another person or organisation without our prior written agreement.

Application or invitation

Submitting an application, receiving an invitation or requesting access does not guarantee acceptance.

We may consider:

  • alignment with the purpose of Kazoku;
  • the applicant’s expectations;
  • available capacity;
  • security, compliance and geographic considerations;
  • previous conduct or dealings with Nashīnasu;
  • whether we can properly provide the experience in the applicant’s location.

We are not required to disclose detailed reasons for declining an application.

Formation of the agreement

Membership begins only when:

  1. we confirm acceptance in writing;
  2. you accept these Terms;
  3. the required payment or agreed first instalment has cleared; and
  4. we confirm your membership commencement date.

3. Membership capacity

The first redesigned Kazoku cohort is limited to a maximum of 20 founding members.

Kazoku may expand gradually after operational review. The intended permanent ceiling is 80 active members, but we are not obliged to make all places available.

Capacity limits may be changed where reasonably necessary to protect service quality, legal compliance or the integrity of the circle.

Founding-member recognition records participation in the initial redesigned cohort. It does not create a superior tier, guaranteed lifetime access, guaranteed artwork or unrestricted access to the artist.

4. Membership term

Kazoku is a 12-month membership relationship beginning on the commencement date stated in your acceptance confirmation.

Membership is not a cancel-anytime monthly subscription.

Where instalments are permitted, instalments are a method of paying the annual fee. They do not convert the membership into separate monthly or quarterly contracts.

5. Price and payment

Annual fee

The annual membership fee is:

£10,000

The exact total payable, including any legally applicable taxes, will be confirmed before payment.

We do not charge or describe any amount as VAT unless we are legally entitled and required to do so.

Currency

All membership fees are stated and payable in pounds sterling unless we expressly agree otherwise.

Payment arrangements

Payment may be required:

  • in full before membership begins; or
  • through an instalment arrangement expressly approved by us.

Any instalment schedule will be confirmed in writing before membership begins.

Failed or late payments

Where an agreed payment is overdue, we may:

  • pause access to private materials and opportunities;
  • withhold future membership delivery;
  • request immediate payment of the outstanding amount;
  • terminate the membership where the failure remains unresolved.

We will normally provide reasonable notice and an opportunity to correct an accidental payment failure before termination.

6. Renewal

Membership does not renew automatically unless we later obtain your separate, express agreement to an automatic-renewal arrangement that complies with applicable law.

Before the end of the membership year, we may invite you to renew.

Renewal is by mutual agreement and is subject to:

  • continued alignment;
  • available capacity;
  • payment of the fee stated for the new term;
  • acceptance of the terms applying to that new term.

Neither party is required to enter a further membership year.

Previous pricing, commercial terms and active membership placement are not guaranteed after a membership ends.

7. Cooling-off rights

Where you enter the contract online or at a distance as a consumer, you will generally have a statutory right to cancel within 14 days after the contract is entered into, without giving a reason. 

Instructions for exercising that right will be supplied with your acceptance information.

If you expressly ask us to begin supplying membership services during the cooling-off period and later cancel within that period, we may be entitled to retain or charge a proportionate amount for services already supplied, where permitted by law. 

If required pre-contract cancellation information is not supplied correctly, statutory cancellation periods may be extended. 

Nothing in these Terms removes any mandatory cancellation right applying in your country or region.

8. Early cancellation after the cooling-off period

After the statutory cooling-off period, the membership remains a 12-month commitment.

A member may nevertheless contact us to request early termination where serious and unforeseen circumstances make continued participation unreasonable.

We will consider such requests fairly and individually. We may request reasonable evidence where appropriate.

Any refund, reduction or remaining payment obligation will depend upon:

  • the circumstances;
  • the portion of the membership year already supplied;
  • access and materials already provided;
  • outstanding instalments;
  • applicable consumer law.

Nothing in this section limits any right to cancel because of our breach, non-performance or another legal right.

A term stating that no refund is available under any circumstances may be unfair and unenforceable, so these Terms do not use an absolute “all sales final” rule. 

9. Included annual experience

Subject to these Terms, an active membership is intended to include:

Selected private circulation

Selected Nashīnasu works, editions, archival opportunities or commission openings may be privately presented before wider release or outside public circulation.

Private circulation does not guarantee:

  • access to every work;
  • a specific number of original-art offers;
  • that a work will match your preferences or budget;
  • a right to purchase a particular piece;
  • priority over an existing reservation or completed sale.

Confidential collector record

We may maintain a private record of relevant collecting interests, including preferred works, scale, materials, placement considerations and acquisition interests.

The record is intended to improve relevance. It does not require us to source, create or reserve bespoke work.

Members will normally have an opportunity to review or update their collector information during each active year.

Four private presentations

Each active membership year is intended to include four carefully composed, artist-directed presentations.

Formats may include:

  • private viewing pages;
  • films;
  • archive presentations;
  • visual sequences;
  • written presentations;
  • other digital or physical formats selected by Nashīnasu.

Presentations are not guaranteed to be live.

We may vary their format, subject, timing and means of delivery while preserving the substance of the annual experience.

Collector context

Members will receive private artistic or collector context during the year, which may be incorporated into presentations or supplied separately.

Commission consideration

When commission capacity becomes available, members may receive a private opportunity to express interest.

Membership does not guarantee that:

  • commission capacity will open during the membership year;
  • a commission request will be accepted;
  • a proposed subject or concept will be approved.

Any accepted commission will be separately scoped, priced and contracted.

Continuity and recognition

Continuous active membership may be recorded within the private Kazoku archive and acknowledged in a restrained form selected by Nashīnasu.

10. Undisclosed and discretionary moments

Kazoku may also include unexpected releases, invitations, collector objects, artistic gestures or other discretionary moments.

Unless expressly described as a guaranteed benefit in writing, these are:

  • optional;
  • artist-directed;
  • not promised to every member;
  • not guaranteed to carry a particular financial value;
  • not exchangeable for cash or another benefit.

Different members may receive different discretionary opportunities based on relevance, preference, location, tenure or practical circumstances.

That does not create separate membership tiers.

11. No included artwork

The annual membership fee does not include an automatic entitlement to:

  • an original artwork;
  • a print;
  • a framed work;
  • a sketch;
  • a collector object;
  • a commission;
  • a specific physical gift.

Any artwork acquired by a member is a separate purchase governed by the applicable sale, shipping and return terms supplied for that transaction.

12. No routine live access

Kazoku does not include a guaranteed entitlement to:

  • livestreams;
  • video meetings;
  • one-to-one calls;
  • physical meetings;
  • private studio visits;
  • open office hours;
  • unrestricted messaging;
  • immediate personal responses;
  • access to unfinished work;
  • creative direction or influence over the artist.

Direct artist involvement is selective and intentional.

Routine administration may be handled by a collector-relations or operations representative.

13. Communications

Official Kazoku communication will take place through the designated email address, website area or another channel confirmed by us.

Members must keep their contact information accurate and should ensure that Kazoku messages are not blocked by spam or security settings.

Administrative enquiries do not guarantee a direct response from Nathan Downie personally.

Private opportunities may carry their own response deadlines. Missing a deadline does not oblige us to reopen an opportunity or reserve a work.

14. Confidentiality and member conduct

Member-only materials and private information may include:

  • private links;
  • unreleased artwork;
  • viewing pages;
  • films;
  • collector notes;
  • archive material;
  • acquisition opportunities;
  • invitations;
  • confidential correspondence.

Unless we give written permission, members must not:

  • share, forward or publish private materials;
  • record restricted presentations;
  • distribute private links or passwords;
  • provide access to another person;
  • publicly disclose unreleased work;
  • misrepresent the membership as a partnership, endorsement, representation or personal friendship;
  • use Kazoku access for commercial exploitation;
  • harass the artist, staff, other members or collaborators;
  • attempt to circumvent access or security controls.

We may restrict or terminate access where conduct threatens confidentiality, security, member welfare or the integrity of Kazoku.

15. Intellectual property

All intellectual-property rights in Nashīnasu artwork, films, images, text, presentations, viewing materials and other content remain owned by Nathan Downie or the relevant lawful rights holder.

Membership does not grant any commercial licence.

Members may not reproduce, distribute, licence, mint, tokenise, merchandise, adapt, train artificial-intelligence systems on, or otherwise commercially exploit Kazoku material without prior written permission.

Ownership of a physical artwork does not transfer copyright or other intellectual-property rights unless expressly agreed in writing.

16. Separate artwork transactions

Any purchase of an original, edition, archival work or commission is separate from the membership fee.

The price, medium, dimensions, delivery, framing, insurance, customs arrangements and other relevant terms will be stated separately before purchase.

Where physical work is shipped internationally, customs duties, import taxes or local charges may apply. Responsibility for such charges will be identified in the applicable purchase terms.

17. Changes to the experience

Kazoku is artist-led. We may reasonably change:

  • the format of a presentation;
  • the order or timing of annual delivery;
  • the technology used;
  • the presentation subject;
  • administrative processes;
  • communication channels.

We will not use this provision to remove the essential substance of the paid annual experience without an appropriate remedy.

Where we cannot provide a material guaranteed component, we may offer:

  • a reasonably equivalent replacement;
  • rescheduling;
  • an extension;
  • a proportionate refund or credit where appropriate.

Consumer guidance indicates that advance payments for services not supplied may need to be refunded, at least proportionately, depending on what was and was not delivered. 

18. Suspension and termination by us

We may suspend or terminate membership where reasonably necessary, including for:

  • non-payment;
  • fraud;
  • abusive chargebacks;
  • confidentiality breaches;
  • intellectual-property infringement;
  • harassment or threatening conduct;
  • misuse of access systems;
  • material misrepresentation;
  • unlawful conduct;
  • serious or repeated breach of these Terms.

Where practical, we may provide notice and an opportunity to correct a remediable breach.

Where we terminate because of a serious member breach, access ends and any refund entitlement will be determined according to the circumstances and applicable law.

Where we end membership for reasons unrelated to member wrongdoing, we will consider an appropriate proportionate refund or alternative remedy for the unprovided portion of the service.

19. Availability and events

Physical invitations, where offered, may depend on:

  • location;
  • venue capacity;
  • security;
  • accessibility;
  • travel restrictions;
  • project relevance;
  • operational considerations.

Unless expressly stated otherwise:

  • travel and accommodation are not included;
  • physical attendance is not a guaranteed annual benefit;
  • invitations are personal and non-transferable;
  • we may change or cancel an event where reasonably necessary.

20. Changes to these Terms

We may update these Terms for legal, regulatory, operational, security or programme reasons.

Changes will not retrospectively reduce material rights already purchased for an active membership year without an appropriate remedy.

Where a change materially affects an active member, we will provide reasonable advance notice by email or another durable method.

Updated terms may apply to future renewals.

21. Consumer rights

Nothing in these Terms excludes or restricts rights that cannot lawfully be excluded.

Services supplied to consumers must comply with applicable consumer law, and unfair terms are not binding merely because they appear in a signed agreement. 

Where mandatory protections in a member’s country exceed these Terms, those mandatory protections continue to apply.

22. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of rights that cannot legally be excluded.

Subject to those exceptions, we are not responsible for losses that were not reasonably foreseeable when the membership agreement was entered into.

Nothing in this section limits your statutory consumer rights.

23. Data protection

We process personal information in accordance with our Privacy Policy and applicable data-protection law.

Information may be used where reasonably necessary to:

  • assess applications;
  • administer membership;
  • maintain collector records;
  • communicate private opportunities;
  • process payments;
  • manage security and confidentiality;
  • fulfil separately purchased works;
  • meet legal and regulatory obligations.

Members may contact us regarding their personal data using the details in our Privacy Policy.

24. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a consumer living outside England and Wales, you may also benefit from mandatory rights and jurisdiction protections in the country where you live.

Nothing in this section deprives a consumer of mandatory legal protections that apply to them.
